Terms of Service

The rules and conditions for using lazydirector's AI-powered video effects, creative tools, subscriptions, and digital credits.

These Terms of Service explain your rights and responsibilities when using lazydirector. They cover use of our web-based creative Services, paid subscriptions, digital credits, and AI content processing.

Please read the following provisions before creating an account or making a purchase.

1. Your Relationship With Us

Welcome to lazydirector (the “Platform”), an online AI-powered video effects and content creation service provided by AppCreek Inc. and its affiliates (collectively, “lazydirector,” “we,” “our,” or “us”). These Terms of Service (the “Terms”) are a legally binding agreement between you and us and govern your access to and use of our website, tools, products, content, and related online services (collectively, the “Services”).

Our Services are intended primarily for personal, non-commercial use unless we expressly authorize otherwise in writing or in applicable product-specific terms. A paid subscription does not by itself grant commercial usage rights.

Some features may be subject to eligibility requirements or age restrictions. If you are under the age of 18, you may use the Services only with the consent and supervision of a parent or legal guardian, who should review these Terms with you. The Services are not directed to children under 13.

For purposes of these Terms, “you” and “your” mean the person accessing or using the Services.

2. Accepting the Terms

By accessing or using the Services, you represent that you are legally able to enter into a binding agreement, agree to these Terms, and agree to comply with applicable laws and regulations. If you do not agree, you must not access or use the Services.

Your use of the Services is also subject to our Privacy Policy, which describes our processing of personal information. Please read it carefully.

If you access or use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes the entity, and the entity is responsible for access to and use of its account by its employees, contractors, and representatives. This does not override any non-commercial restrictions described in these Terms.

3. Changes to the Terms

We may update these Terms to reflect changes in our features, payment offerings, technology, operations, or applicable law. When we make material changes, we will use commercially reasonable efforts to give notice, for example by posting a notice on the Platform or by another appropriate method.

We will update the “Last Updated” date above when the Terms change. Your continued use of the Services after the updated Terms become effective constitutes acceptance of those Terms, to the extent permitted by applicable law. Where separate notice or consent is required, we will provide it. If you disagree with the revised Terms, please discontinue use of the Services and cancel any active subscription.

4. Your Account With Us

Some Services require an account. When registering, you must provide accurate and current information and keep it reasonably up to date. You are responsible for safeguarding your login credentials and for activity conducted through your account, except to the extent applicable law provides otherwise.

You must not share your password with unauthorized persons or access another user's account without permission. If you believe your account has been compromised, please contact us promptly at [email protected].

We may suspend or disable an account when we reasonably believe that the account has violated these Terms, threatens the Services, infringes the rights of others, or is being used unlawfully. Where appropriate and practicable, we may provide notice or an opportunity to resolve the issue.

5. Your Access to and Use of Our Services

You must use the Services responsibly, lawfully, and in accordance with these Terms. In particular, you must not:

  • Access or use the Services if you are not legally permitted to agree to these Terms.
  • Copy, modify, reverse engineer, decompile, disassemble, or create unauthorized derivative works of our software or Services, except where permitted by applicable law.
  • Resell, rent, sublicense, or commercially exploit the Services without our prior written authorization.
  • Interfere with or compromise the security, integrity, or availability of the Services; bypass access controls, usage limits, or payment restrictions; or attempt unauthorized access.
  • Use unauthorized bots, scripts, scrapers, or automated methods to access or collect data from the Services.
  • Harass, threaten, defame, or discriminate against others, or create or distribute unlawful, sexually exploitative, or otherwise prohibited content.
  • Upload malware, harmful code, or content that disrupts our systems.
  • Infringe another person's copyrights, trademarks, privacy rights, publicity rights, or other legal rights.
  • Upload or generate deceptive impersonations or manipulated depictions of identifiable people without necessary rights, permissions, or lawful justification.
  • Attempt to use the Services to facilitate fraud, unlawful activity, or other misuse.

We may block, remove, or restrict content or access when necessary to enforce these Terms, protect the Services or users, respond to complaints, or comply with law. Our enforcement rights are subject to applicable legal requirements.

6. Intellectual Property Rights

We respect intellectual property rights and expect users to do the same. You must have the rights, licenses, permissions, and consents required for any materials you submit to the Services.

Copyright

Content that infringes another person's copyright may not be uploaded, processed, or distributed through the Services. Repeated or serious violations may result in suspension or termination of an account.

Trademarks and other rights

You may not use the Services to infringe trademarks or other intellectual property rights, privacy rights, or rights of publicity. If you believe content or activity on our Platform infringes your rights, please contact us with a description of the concern and sufficient information to assess it.

7. Content and AI-Generated Outputs

Our content and technology

The Platform's software, interface, design, text, graphics, logos, templates, features, and other materials made available by us (the “lazydirector Content”) are owned by or licensed to us. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services and lazydirector Content solely for permitted purposes. We retain all rights not expressly granted.

Your uploaded content

You or your licensors retain ownership of the photos, videos, prompts, and other content you submit (“User Content”). You represent that you have all rights and permissions necessary to submit the User Content and to authorize its processing, including permissions relating to any identifiable people depicted.

You grant us and our authorized processing providers a limited license to access, transmit, process, and otherwise use User Content only as reasonably necessary to fulfill your requested features, operate and secure the Services, and comply with law, consistent with our Privacy Policy. This license does not authorize AI model training.

AI-generated outputs

Generated images and videos may be inaccurate, incomplete, non-unique, or similar to outputs generated for others. We do not guarantee that an output qualifies for intellectual property protection or that its use will not implicate third-party rights. You are responsible for reviewing and using outputs lawfully.

Any rights you may have in generated outputs are subject to applicable law and the rights of third parties. Unless separately authorized, the Services and generated outputs are offered for personal, non-commercial use, consistent with Section 1.

Image handling and model training

Images uploaded for processing are not stored on lazydirector's own servers. Processing may involve authorized third-party AI providers, whose applicable handling and retention arrangements are explained in our Privacy Policy. We do not use or authorize the use of User Content or generated outputs for AI model training.

8. Payments and Automatic Subscriptions

lazydirector may offer paid subscriptions and other digital purchases. Prices, billing periods, included benefits, applicable taxes, and any promotional terms will be presented on the relevant purchase or checkout page. You are responsible for reviewing those terms before completing a purchase.

Stripe payment processing

Online payments and recurring subscription charges are processed through Stripe, an independent third-party payment provider. When you purchase a plan or digital product, you authorize Stripe to process the payment using your selected payment method. Stripe handles payment card details under its applicable terms and privacy practices. We do not independently store your complete payment card number or card security code on our servers.

Automatic renewal

Unless otherwise disclosed at checkout, an automatically renewing subscription continues for successive billing periods at the price and frequency disclosed at purchase until canceled. By subscribing, you authorize recurring charges to your payment method for the applicable plan, including taxes where applicable.

We will disclose the material subscription terms before purchase. Any notice of price changes or changes requiring your consent will be handled in accordance with applicable law and the relevant subscription terms.

Canceling a subscription

You may request cancellation through subscription management tools available on the Platform, if provided, or by contacting [email protected]. Cancellation is intended to stop future renewals; access to paid features after cancellation, and any applicable deadline for cancellation before the next billing date, are governed by the terms disclosed at purchase and mandatory consumer protections.

Refunds, billing errors, and disputes

Refunds and adjustments are handled in accordance with the terms disclosed at purchase and applicable consumer-protection law. If you believe a charge is incorrect, or you wish to request a refund, please contact us with relevant transaction details. We may exchange transaction, refund, and dispute-related information with Stripe and other authorized payment-related providers to process the matter and prevent fraud.

For more information about Stripe's data practices, visit Stripe's Privacy Policy.

9. Credits and Other Digital Purchases

Some features may use digital credits or similar units to access AI generation or processing. Credits are digital units usable only within the Services; they are not currency, do not represent stored monetary value, and cannot be redeemed for cash unless required by law.

The number of credits included with a subscription, the number credited for one-time purchases, and the credits required for a feature will be shown in the applicable product interface or purchase terms. Different plans may provide different credit allocations and benefits.

Rules on when credits are issued, used, replenished, rolled over, or expire—if applicable—must be disclosed in the relevant plan description, checkout terms, or account interface. Such rules may differ between subscription credits and separately purchased credits. We do not promise rollover or indefinite validity unless expressly stated.

If a technical problem affects a paid generation or credit deduction, please contact support so we can investigate and determine an appropriate remedy, subject to applicable law and the relevant purchase terms.

10. Third-Party Services and AI Processing

The Services may rely on third-party AI processing, hosting, analytics, advertising, and payment technology. For example, payments are processed through Stripe, while website measurement or advertising may involve Google Analytics and Meta Pixel as described in our Privacy Policy.

Third-party AI providers may receive content necessary to perform your requested generation. We do not authorize the use of content processed on our behalf for AI model training. Their processing and retention responsibilities depend on applicable arrangements and legal requirements, and should not be confused with the separate commitment that lazydirector does not store uploaded images on its own servers.

Third-party services may have their own terms and privacy policies. We are not responsible for third-party sites or services that are outside our control, except to the extent responsibility cannot legally be excluded.

11. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AppCreek Inc., its affiliates, and their respective officers, directors, employees, agents, and advisers against third-party claims, liabilities, losses, and reasonable costs (including attorneys' fees) arising from your material breach of these Terms, unlawful use of the Services, or infringement of another person's rights by content you submit or distribute.

This provision does not require you to indemnify us for our own unlawful conduct or matters for which indemnity is prohibited by applicable law.

12. Exclusion of Warranties

NOTHING IN THESE TERMS LIMITS ANY NON-WAIVABLE STATUTORY RIGHTS YOU MAY HAVE AS A CONSUMER.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND AI-GENERATED OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, TO THE EXTENT ALLOWED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICES WILL MEET ALL YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR PRODUCE ACCURATE, UNIQUE, ORIGINAL, OR ERROR-FREE CONTENT. THESE DISCLAIMERS DO NOT APPLY WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

13. Limitation of Liability

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING ANY NON-WAIVABLE CONSUMER RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR LOST PROFITS, LOST GOODWILL, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL OTHER CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO LAZYDIRECTOR FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply only to the extent enforceable under applicable law and do not limit remedies that cannot lawfully be excluded.

14. Other Terms

Entire agreement

These Terms, together with any applicable plan-specific or purchase terms referenced at checkout, constitute the agreement between you and lazydirector concerning your use of the Services. Our Privacy Policy separately explains our personal-data practices.

No waiver

Our failure to enforce a provision of these Terms does not waive the right to enforce it later.

Service security

We use reasonable safeguards but cannot guarantee that the Services will be continuously available or entirely free from bugs, vulnerabilities, or harmful components. You remain responsible for maintaining appropriate security on your own devices and accounts.

Severability

If any provision of these Terms is held unenforceable by a court of competent jurisdiction, the remaining provisions will continue in effect to the extent permitted by law.

15. Dispute Resolution

Informal resolution

If a dispute arises, you and lazydirector agree to attempt to resolve it informally first. The party raising the dispute should provide written notice explaining the concern. The receiving party will have up to sixty (60) days to respond or seek a resolution, except where applicable law requires otherwise or urgent relief is necessary.

Governing law and venue

These Terms are intended to be governed by applicable law in the United States, subject to any mandatory rights and protections that apply in your jurisdiction. Where lawfully permitted, disputes will be brought before a court of competent jurisdiction in the United States. These provisions do not prevent you from invoking consumer protections or remedies that cannot legally be waived.

Time limits on claims

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY WHERE IT WOULD CONTRAVENE MANDATORY LAW OR NON-WAIVABLE LEGAL RIGHTS.
